Playing Offense and Defense in the Digital Age: Best Practices for Internet Brand Management and Employees’ Use of Social Media: Tweets, Likes, Yelps and Your Company

  • As social media becomes ever more important to a brand’s reputation, businesses need to walk a fine line between protecting their products, services, and reputations online while doing so with kid gloves, lest they develop a reputation for being “trolls.” This session will cover a wide range of topics related to online brand management. On offense, we will discuss how to appropriately enforce your company’s rights online where, for example, someone is using your brand or intellectual property without permission, and a new creature of contracts, the nondisparagement clause. On defense, we will discuss best practices for reacting to a variety of challenges, from how to deal with negative reviews on social media to disgruntled customers and where the line is drawn on defamation claims online (hint: it’s not where you think it might be).

Prenuptial Agreements for Same Sex Relationships – To Be or Not To Be?

  • Developments in the law concerning same sex marriages and how they impact prenuptial and postnuptial agreements.
  • By the time of this session, the U.S. Supreme Court will hopefully have rendered a decision regarding the constitutionality of same sex marriages and there may be some clarity on the issue. There may also be new issues that arise. The session will focus on the impact of the decision and on same sex marriages.

The Basics of Noncompetition Clauses

  • This session will look at the always thorny issue of employee separation, both from the employer and employee standpoints. Attendees will learn about non-competition clauses and what types of clauses are enforceable in Michigan. Those attending as business/HR professionals will learn how to maximize their protection utilizing the latest developments in Michigan case law on the topic. Those attending as employees will learn the nuances of their agreements and what is/is not acceptable conduct if the employee is subject to an otherwise enforceable non-competition clause.

Is Your Worker an Independent Contractor or an Employee and Why Does It Matter?

  • Improper classification of an individual who is really an employee as an independent contractor may expose the business to significant liability for violations of the state and federal tax and withholding requirements, the Worker’s Compensation Act, the wage and hour laws as well as potential ERISA violations for excluding individuals from benefit plans. Learn how to properly classify individuals as either an independent contractor or employee.
